EVALUATION LICENSE AGREEMENT
ATTENTION: By using the Product, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not use the Product.
The following license agreement (this “Agreement”) is a legal agreement between you (or your company or institution) and Spirion, LLC (“Spirion”), the owner of the software product (the “Product”), concerning the evaluation of the Product by You.
License Grant. You have a limited non-transferable license to use the Product for evaluation purposes only. You do not own the Product. All right, title and ownership interest, including copyright, in the Product remain exclusively with Spirion. All rights not expressly granted by this Agreement are reserved by Spirion.
Limited Usage. The Product is for evaluation and non-production use only. You may not use the product for official reporting, compliance or any regulatory purposes or to develop or promote competitive offerings.
Restrictions. You shall not reverse engineer, de-compile, translate, or disassemble the Product except as permitted by applicable law. You shall not sub-license, transfer, or distribute the Product in any manner.
Warranty. The Product is provided to you on an “AS IS” basis, without any warranties, express or implied, including, but not limited to, warranties of merchantability or fitness for a particular use or purpose.
Limitation of Liability. IN NO EVENT SHALL SPIRION BE LIABLE FOR ANY INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES OF ANY NATURE OR KIND WHATSOEVER. SPIRION’S MAXIMUM AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED $100.
Legal. This Agreement constitutes the entire agreement between you and Spirion. This Agreement shall be governed by and construed in accordance with the laws of the State of Florida. The only venue for any claim or dispute arising out of this Agreement shall be in Florida.
